Senior Legal Counsel, Corporate (Finance)

Role/ Department: Corporate Senior Legal Counsel/Legal
As the Corporate Senior Legal Counsel you will be advising on general corporate, governance, and securities law matters. This attorney will work closely with the Deputy General Counsel and Corporate Secretary in providing legal counsel to Northern Trust's senior leadership.
The key responsibilities of the role include:
• Provide counsel with respect to full spectrum of issuer-side securities law matters, including compliance with the Securities Act of 1933, Securities Exchange Act of 1934, related SEC rules and exchange listing requirements
• Prepare and review SEC filings, including Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, Section 16 filings, proxy statements, registration statements, etc.
• Review various other significant corporate disclosure documents, including those related to environmental, social, and governance / sustainability-related matters
• Assist with corporate governance matters as needed, including supporting the Board of Directors and executive management team in conjunction with meetings of the Board of Directors
Skills/Qualifications:
• Licensed to practice law in Illinois
• Minimum 5 years related experience at a major law firm, with in-house / financial institution experience preferred but not required
• Significant general corporate, governance, and securities law experience, with demonstrated familiarity with the Delaware General Corporation Law, federal securities laws, and NASDAQ listing requirements
• Excellent communication and interpersonal skills, with the ability to interact with inter-disciplinary teams-including Investor Relations, Communications, Financial Reporting, Controller's Department, Treasury, Human Resources / Executive Compensation, Strategy, Tax, and Compliance-as well as with senior and executive management
• Strong work ethic and demonstrated ability to manage workload with minimal supervision
• Outstanding organizational skills and ability to prioritize matters
• Exceptional attention to detail and ability to ramp-up quickly in new environments and teams
• Willingness to develop expertise with respect to environmental, social, and governance / sustainability-related disclosures
• Juris Doctor degree from a nationally recognized institution
